Terms of Service

1. The service

The Site is an informational website for our software studio. It includes:

• Marketing pages describing our services
• A blog with engineering, design, and process notes
• A showcase of past work
• A contact form to start a conversation about a potential project

Use of the Site is offered "as is" and "as available." These Terms do not create a service-delivery agreement — any work we do for you is governed by a separate signed engagement contract.

2. Acceptable use

You agree not to:

• Use automated tools (bots, scrapers, crawlers) to access the Site, except for well-behaved indexing bots that respect robots.txt
• Submit false, misleading, or third-party personal information through the contact form
• Attempt to gain unauthorized access to admin areas, accounts, or infrastructure
• Use the Site to send spam, phish users, or distribute malware
• Reverse engineer, decompile, or attempt to extract the source code of our applications
• Use our content, brand marks, or designs in a way that suggests endorsement we have not given
• Submit content that is unlawful, defamatory, infringing, or harmful

We reserve the right to block access for any user who violates these terms.

3. Intellectual property

All content on the Site — including text, graphics, logos, code, audio, video, and the underlying software — is owned by or licensed to Ideacle Co., Ltd. and is protected by copyright, trademark, and other applicable laws.

You may: - View and read content on the Site for personal or business evaluation - Quote excerpts from blog posts with attribution and a link back to the original - Share links to public pages

You may not without prior written permission: - Republish or redistribute substantial portions of our content - Use our brand marks (logo, name, "Ideacle.ai") in your own product, service, or marketing - Train AI models on our content

4. User submissions

When you submit content through the contact form (or any other interactive feature), you:

• Confirm you have the right to submit that content
• Grant us a non-exclusive, worldwide, royalty-free license to use the content for the purpose of responding to your inquiry
• Acknowledge we may store, copy, and display the content internally as part of our normal operations

We will not publish your submission externally without your consent.

5. Third-party links and services

The Site may link to third-party websites or use third-party services (e.g., Cloudflare, Anthropic, Resend). We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their own terms.

6. AI features

Some sections of the Site or our admin tools may use AI to generate content. AI output may contain errors and should not be relied on as professional advice. We make reasonable efforts to review and validate AI-generated content before publishing, but provide no warranty as to its accuracy.

7. Disclaimers

THE SITE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Information on the Site (including blog content) is for general information only and does not constitute professional, legal, financial, or other advice.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEACLE CO., LTD. AND ITS DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE.

Our total aggregate liability for any claim arising from your use of the Site is limited to THB 1,000.

This limitation does not apply to liability that cannot be limited by applicable law (e.g., for fraud, gross negligence, or death/personal injury caused by negligence).

9. Indemnification

You agree to indemnify and hold Ideacle Co., Ltd. harmless from any claim, loss, or expense (including reasonable legal fees) arising from:

• Your violation of these Terms
• Your violation of any third-party right
• Your misuse of the Site

10. Changes to the Site or Terms

We may modify, suspend, or discontinue the Site (or any feature) at any time, with or without notice. We may also revise these Terms; the revised Terms take effect on the "Last updated" date shown above. Your continued use of the Site after revisions constitutes acceptance.

11. Governing law and disputes

These Terms are governed by the laws of Thailand, without regard to conflict-of-laws principles. You agree that any dispute arising from these Terms or your use of the Site will be resolved in the competent courts of Bangkok, Thailand. This does not affect mandatory consumer-protection rights under your local law.

12. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
